Mr.Zhang Libin,a Senior Partner of King&Capital Law Firm in Beijing,graduated from the University of Texas at Austin School of Law in 1997 with a J.D.degree and from the University of International Business and Economics in 1987 with a B.A.degree in Economics.Mr.Zhang is licensed to practice law in China and the State of New York,and has nearly 30 years of legal work experience in international law firms and multinational corporations.He started his legal career as an associate with Paul,Weiss(New York and Beijing)in 1997 and subsequently with White&Case(Shanghai)in 2000,mostly advising foreign clients in direct investment/joint venture projects in China.In 2006,Mr.Zhang joined Baker Botts as a resident partner in its Beijing Office and advised foreign and Chinese clients in energy-related projects and cases.In 2010,he joined a prestigious Chinese law firm Broad&Bright,practicing Chinese law in assisting Chinese and foreign clients in energy sectors.In addition,he used to serve as legal counsel at ABB(China)Ltd.,Siemens(China)Ltd.,and used to work as General Legal Counsel and Chief Compliance Officer of ENN Group.
Mr.Zhang is an arbitrator of China International Economic and Trade Arbitration Commission(CIETAC),Beijing Arbitration Commission/Beijing International Arbitration Center(BAC/BIAC),and Hong Kong International Arbitration Centre(HKIAC).He is also a member of the Users Councils of Singapore International Arbitration Centre(SIAC)and Swiss Arbitration Association(ASA),and has been appointed by the ASA as the“Swiss Arbitration Association China Ambassador”.In addition,Mr.Zhang serves as a Chinese arbitrator of the“Common Court of Justice and Arbitration”(OHADA)under the framework established by the Treaty on the Harmonization of Business Law in Africa signed by 17 African countries.He has also represented clients as counsel or legal expert witness before courts or arbitration institutions in jurisdictions such as Singapore,London,and the Netherlands,achieving favorable results.
The International Practice Group of King&Capital Law Firm led by Mr.Zhang specializes in international dispute resolution,cross-border investment and M&A,international trade,and overseas compliance.The Group has served Chinese state-owned and private energy enterprises such as PowerChina,CTIEC,State Power Investment Corporation,Sinochem Group,Shenergy Group,Beijing Energy Group,Xinjiang Guanghui,ENN Group,and GCL New Energy.The Group has provided legal services for these companies’overseas energy investment projects and cases.Mr.Zhang used to serve as the head of Legal for M&A in Asia and Australia at Siemens,where he led and completed more than a dozen investment and M&A projects for Siemens.He has also served as General Counsel of ENN Group,where he assisted ENN’s acquisition of the Freeport LNG facility project in the United States(which did not close).

Dispute resolution:
- Representing a major energy company in an ad hoc arbitration under the UNCITRAL Arbitration Rules arising out of a Production Sharing Contract(PSC),involving disputes over the extension of the production period and claims for loss of anticipated profits,with the amount in dispute in the billions of RMB.The case was governed by UNCITRAL Arbitration Rules,with the languages of arbitration being Chinese and English and the appointing authority being Stockholm Chamber of Commerce(SCC).
- Representing the overseas investment subsidiary of a famous Chinese state-owned enterprise in the field of construction and engineering in an arbitration case of Singapore International Arbitration Center(SIAC),which arises from a BOT contract of a national hydropower project under the“Belt and Road Initiative”between the company and the government of a Southeast Asian country.The case was conducted under UNCITRAL Arbitration Rules,with the seat of arbitration in Singapore and the language of arbitration being English.
- Represented a domestic survey and design institute in a series of SIAC arbitration cases arising from a quality dispute over wind turbine blades for a wind farm project,involving the local project owner and subcontractors respectively in a Southeast Asian country.The cases were governed by SIAC Arbitration Rules,with the seat of arbitration in Singapore and the language of arbitration being English.
- Represented a state-owned engineering company in a dispute arising from a service contract with an Indian power plant EPC contractor.The key dispute between the parties centered on the determination of the value of delivered drawings under the service contract.After reviewing extensive emails,correspondence,contracts,and supplemental agreements,and in consideration of the client’s interests,the threat of commencing arbitration proceedings before SIAC was used as a means of pressure to seek an early consensus on the amount of the claim.The case was governed by SIAC Arbitration Rules,with the seat of arbitration in Singapore and the language of arbitration being English.
- Providing legal services in ICC London arbitration for EPC disputes related to a new energy project located in a Latin American country.
- Providing legal services on issues related to PPA disputes and compensation from a certain country Export&Credit Insurance Corporation(Sinosure)involved in hydropower projects of a certain state-owned enterprise in Southeast Asian countries(in progress).
- Providing consulting services for the enforcement of a certain foreign arbitration award in China.
- Representing a Chinese client(the person subject to enforcement)in the enforcement procedure of a certain LCIA arbitration award in the Higher People's Court of a certain province in China.
- Provided legal services for a certain Chinese enterprise regarding the oil and gas project located in Ethiopia.
- Providing consultation for the client regarding the non-negotiable payment dispute case between a certain LNG importer(client)and a certain city LNG receiving station company.
- Provided legal services for the negotiation and agreement modification of the long-term LNG contract between a certain Chinese enterprise and a certain American company.
- Provided multiple legal expert opinions in the ad hoc arbitration in London based on the UNCITRAL arbitration rules for the PSA project dispute between a certain people from a certain country national oil company and a foreign company in a certain country(with a claim of 1.8 billion US dollars),testified in court as a people from a certain country legal expert witness,accepted cross-examination,and was questioned by the arbitration tribunal(the people from a certain country side won a major victory in this case).
- Provided consultation for the farm-out dispute between an international oil and gas company and an Indian company in the Shanxi coalbed methane project at SIAC Arbitration in Singapore and appeared in court in Singapore(the client achieved a complete victory in this case).
- Provided legal services to Conocophillips regarding the Bohai Bay oil spill incident,including negotiations between Conocophillips and the State Oceanic Administration,compensation for fishermen,and the division of responsibility with CNOOC.
Cross-border investment and mergers and acquisitions:
- Providing full-process legal services for the investment and implementation of a photovoltaic project of a certain state-owned enterprise in a Middle Eastern country.
- Acting as the legal counsel for a renowned state-owned construction company’s overseas investment arm,offering daily legal consultation for the operation of photovoltaic,hydroelectric,thermal,and wind power stations in various Southeast Asian countries.This involved drafting or revising agreements,participating in negotiation meetings with stakeholders,and issuing legal opinions.
- Acting as the legal counsel for a national aviation state-owned enterprise,assisting in the establishment of platforms in Hong Kong and Singapore,integrating existing overseas assets and businesses into these platforms,and aiding in investment and construction in a Southeast Asian country to set up a new energy vehicle manufacturing base.
- Acting as the legal counsel for a domestic investment group,providing legal services in its investment in a gold mine project in Malaysia.Led domestic and cross-border legal due diligence,coordinated with local counsel to verify mining rights and compliance matters,assisted in designing the transaction structure,and drafted and negotiated core documents including the letter of intent and investment agreement,ensuring the project progressed in compliance with applicable laws.
- Acting as the legal counsel for a Fortune 500 company,handling special legal matters relating to its overseas oil and gas transactions,including drafting transaction contracts in both Chinese and English,such as a natural gas purchase and sale agreement with an advance payment of up to RMB 1 billion,and a 10-year long-term LNG supply agreement with an annual contract volume of 3 million tonnes.
- Designed the transaction framework for a long-term LNG trade agreement(20 years)between a major global energy group and a U.S.natural gas export company,drafted a series of contract documents for international LNG trade,conducted due diligence on the upstream U.S.seller company on behalf of the buyer,and acted as the buyer’s counsel in negotiations with U.S.counsel retained by the seller.
- Structured the transaction framework for the assignment of a development contract relating to a national oil and gas company’s oil and gas fields located in Africa,provided legal analysis on the advantages and disadvantages of equity transfer and asset transfer approaches,drafted the assignment agreement in English for the client after the transaction structure was finalized,and assisted the client in negotiating and executing the agreement with the counterparty.
- Acting as legal counsel for a major national e-commerce platform,providing specialized legal support for its market expansion into Malaysia,and conducting compliance reviews and risk assessments regarding its marketing activities and user growth mechanisms.Based on in-depth research and understanding of the local regulatory environment,key risk points were identified and optimized from the perspectives of consumer protection and data compliance,assisting the client in achieving compliant local implementation of its business initiatives while balancing commercial objectives.
- Providing legal services for a private investment enterprise to establish an investment fund in BVI.
- Provided legal services for ENN Group's light-asset acquisition of the US Freeport project(long-term contractual arrangement for entrusted liquefaction of upstream purchased natural gas),including handling the CFIUS US national security review and post-signing transition period arrangements and delivery preparations(the project agreement was terminated due to commercial reasons).
- Provided legal services such as legal due diligence on behalf of Chinese clients for the acquisition of a 300MW wind power project in Ukraine.
- Provided full-process legal services(including legal due diligence,transaction structure design and drafting of transaction documents,negotiation,signing and closing,including coordinating the business concentration declaration procedures with the Ministry of Commerce of China)for HP's successful acquisition of the assets within China of Samsung's global printer business(valued at 1.05 billion US dollars).
- Represented Sheneng Group in conducting legal due diligence for the acquisition of a certain oil and gas block in Indonesia.Served as the project leader,collaborating with technology companies and finance companies,and participated in the project's argumentation,transaction structure,and acquisition negotiations(the transaction was abandoned due to business issues).
- Provided legal services(including due diligence,transaction structure design,negotiation and modification of acquisition documents,and transaction completion)to Xinjiang Guanghui Group(listed on the Shanghai Stock Exchange)for its successful acquisition of a 49%stake in a target company in the Zaisan block of Kazakhstan and a package of debt restructuring,offering a full-process and all-round legal service that satisfied the client.
- Provided legal services for Sinochem Group's acquisition of a 40%stake in Statoil's Peregrino oil field in Brazil for 3.07 billion US dollars.

- Providing legal services for the protection of legal risks and rights and interests in the national supervision case involving the boss of a certain state-owned enterprise involving an overseas individual client.
- Provided legal services related to compliance and dispute resolution for cross-border financial transactions involving a Chinese-funded enterprise in Hong Kong.
- Provided professional services for a private enterprise in the medical industry to establish a compliance management system for small and medium-sized enterprises.
- Provided compliance lectures for the board of directors,supervisors,and senior executives of a large energy state-owned enterprise,and provide consulting services for the establishment and certification of a compliance system based on ISO 37301:2011(converted to Chinese national standard 35770-2022).
