• Represented a Fortune 500 company in an arbitration case of London Court of International Arbitration(“LCIA”)arising from a dispute between the company and the government of an African country over the Petroleum Production Sharing Agreements,participated deeply in collection and review of evidence,drafting of documents,interviews with witnesses,initiation of the arbitration proceeding,etc.;and assisted the client to settle the dispute by means of structured negotiation.
• Represented a famous Chinese state-owned enterprise in the field of construction and engineering in an arbitration case of the International Chamber of Commerce(ICC)arising from a series of EPC contracts of photovoltaic power plant projects in Latin America,acted as leading counsel,coordinated attorneys from the seat of arbitration(London)and attorneys from Latin America in collection and review of evidence,formulation of arbitration strategy,drafting of arbitration submissions and initiation of arbitration proceedings.
• Represented the overseas investment subsidiary of a famous Chinese state-owned enterprise in the field of construction and engineering in an arbitration case of the Singapore International Arbitration Centre(SIAC),with the UNCITRAL rules applied,which arose from a BOT contract of a national hydro-power project under the“Belt and Road Initiative”between the company and the government of a Southeast Asian country,provided integrated and diversified means of dispute resolution including credit insurance,expert panel and international arbitration.
• Handled a class arbitration case of the American Arbitration Association(AAA)arising from a dispute between Chinese Amazon sellers and Amazon over account freezing,was responsible for conducting legal research and preliminary market research,drafting memorandums,and communicating with U.S.attorneys.
• Acted as legal counsel of a famous pharmaceutical company,facilitated structured negotiation between the company and its partner manufacturer upon a dispute,and eventually retrieved tens of millions of yuan for the client in a new production line.

 

Cross-border Transactions

 

 

• Acted as legal counsel of a Fortune 500 company,handled special legal affairs for its overseas transactions related to oil and gas,including drafting of transaction contracts in both Chinese and English,such as a natural gas purchase and sale agreement with an upfront payment of up to 1 billion RMB,and a 10-year LNG LTA with a volume of 3 million tons per year.
• Devised the transaction framework for the LNG LTA(20 years)between a major global energy department and a U.S.natural gas exporting company,drafted a series of contractual documents for the LNG international trade,conducted due diligence on the seller’s company and upstream supplier,and represented the buyer in negotiations with the counter-party’s U.S.legal team.
• Devised the transaction framework for a domestic oil and gas company in relation to the assignment of its development contract of an oil-and-gas field located in Africa,issued legal analysis opinions on the pros and cons of the two options of equity deal and asset deal,drafted the assignment agreement in English for the company after the transaction framework was finalized,and assisted the company in the negotiation and signing of the agreement with the counter-party.
• Acted as legal counsel of a large domestic copper company,handled special legal affairs related to a project of electrolytic copper import,including building an international trade framework for the company,drafted in both Chinese and English an electrolytic copper purchase and sale agreement of over 100 billion RMB,assisted the company in international trade negotiations,conducted legal research and drafting legal memorandums.
• Acted as legal counsel of a famous pharmaceutical company,facilitated structured negotiation between the company and its partner manufacturer upon a dispute,and eventually retrieved tens of millions of yuan of investment for the client in a new production line.
