To assist client firms in standardizing contract management and enhancing awareness of legal risk prevention, on the morning of June 8, 2025, attorneys Zhu Yuanxiao and Shi Nan from Beijing King&Capital Law Firm were invited to Beijing Shenzhou Technology Co., Ltd., a firm with which they maintain a long-standing legal advisory relationship, to conduct a specialized training session titled “Key Points for Legal Risk Prevention and Control in the Execution and Performance of Equipment Procurement Contracts” for all employees. The training was conducted through a hybrid online and offline format, reaching both the company’s headquarters and its branches across the country.

Focusing on high-frequency legal risk points in equipment procurement, the training systematically explained the design logic of key contract clauses and evidence management strategies during performance from both the seller’s and buyer’s perspectives, aiming to provide business personnel with practical guidance that is “easy to understand and applicable in practice.”

Attorney Zhu Yuanxiao began with a systematic explanation of “Key Contractual Provisions,” focusing on seven core clauses: review of contracting parties, delivery, payment terms, acceptance, quality, liquidated damages and termination, and jurisdiction. Drawing on the firm’s actual business scenarios, he analyzed how to maximize risk mitigation through clause design from both the buyer’s and seller’s perspectives, while providing model clauses and practical recommendations.
Subsequently, drawing on his experience representing clients in numerous actual litigation cases, Attorney Zhu used real-world examples to deeply analyze common issues regarding the lack of evidence in key stages of contract performance—such as “placing orders,” “delivery,” “acceptance,” and “reconciliation”—and their legal consequences. He emphasized the fundamental role of evidence retention in protecting rights through litigation. Attorney Zhu pointed out, “No matter how well a contract is drafted, if there is no record of its performance, one may still find themselves at a disadvantage in litigation.”
In the final segment of the training, Attorneys Zhu Yuanxiao and Shi Nan engaged in extensive interactive discussions with both on-site and online participants. They provided professional answers to practical issues encountered by business personnel in their daily work, including contract signing and performance, evidence preservation, and accounts receivable collection. Participants generally agreed that the training was closely aligned with business realities, well-focused, supported by detailed case studies, and highly practical.
