Mr.Yuan Changchun is admitted to practice law in both the People’s Republic of China and the State of New York, United States. With more than twenty years of experience in cross-border legal practice, he has long focused on foreign direct investment, mergers and acquisitions, cross-border transactions, corporate governance, as well as compliance and risk management.
Mr.Yuan obtained his Doctor of the Science of Law(J.S.D.)degree from Stanford Law School and his Master’s Degree in Law from the Graduate School of the Chinese Academy of Social Sciences. Combining experience gained from both international law firms and multinational corporations, he has served as Legal Counsel at Coopers&Lybrand, Regional Legal Counsel for Asia Pacific at Manulife Financial, Senior Associate at Gide Loyrette Nouel, and Partner at King&Wood. He was also one of the founding partners of Broad&Bright Law Firm. Through these roles, he has accumulated extensive experience in providing cross-border legal services.
Throughout his legal career, Mr.Yuan has advised numerous Chinese and international clients on matters relating to corporate structuring, restructurings and mergers and acquisitions, corporate governance, regulatory compliance and risk management. He has also frequently served as outside legal counsel for his clients, providing legal advice to senior management on significant business and operational decisions.
Mr.Yuan has particularly extensive experience in handling operational and compliance matters in highly regulated industries, including insurance and healthcare. He can combine clients’commercial objectives with regulatory requirements and provide integrated legal solutions that incorporate both an international perspective and practical local insights.
FDI and Cross-border Transactions
- Served as outside counsel for a US global manufacturer of specialized industrial equipment, provided full service for its dozens of acquisitions of companies in China.
- Advised a US leading software company in several M&A deals in China.
- Served as outside counsel for Warner Bros.Home Entertainment Inc.and its joint venture in China.
- Served as outside counsel for Tyco International Asia, Inc.and its subsidiary Tyco Fire&Security(Beijing)Co., Ltd.in China.

- Advised the Germen insurance company Gerling on its preparations for entering China market.
- Advised Italian Generali on setting up a representative office in Shanghai；
- Provided full services to the French Insurance company CNP in its establishment of a joint venture in China.

- Served as outside counsel for the French Groupama’s China joint venture in Sichuan(Groupama SDIG Property Insurance Co.,Ltd.).
- Served as outside counsel for a US special property and casualty insurance and reinsurance company, advised it on its cooperation with PingAn Insurance in China.
In addition, Mr.Yuan once served as in-house legal counsel for Manulife Financial Asia Pacific, and currently he is an Independent Director at Dajia Insurance Group Co., Ltd.
